- The client is a public listed biotech company. It wishes to acquire a vaccine business and has to conduct an operational due diligence process
- The client needs a consulting support to drive this process and coordinate its teams
Project approach
- Data Room analysis, management meetings, manufacturing site visits
- Writing of the due diligence report structure as a framework for the operating teams’ analyses
- Co-writing of the commercial section and transition scenarios
- Management of the operational teams in charge of the due diligence: Commercial, Manufacturing, R&D, QA/QC, Infrastructure
- Support for identification of Transition Service Agreements (TSAs) required for business continuity
Results
- Consolidated operational due diligence report, transmitted to banks, private equity funds and board of Directors
- Consolidated list of TSAs to be included in the Asset Purchase Agreement
