  • The client is a publicly traded biotech. It wishes to acquire a vaccine business and needs to conduct an operational due diligence.
  • It needs Pagamon’s support to manage the process and coordinate its teams.

PROJECT APPROACH

  • Analysis of the data room, meetings with the management, visits to production sites.
  • Drafting of the structure of the due diligence report to frame the analyses of the operational teams.
  • Joint elaboration of the commercial part and transition scenarios.
  • Supervision of the operational teams in charge of the due diligence: Commerce, R&D, Manufacturing, Quality Assurance | Quality Control, Infrastructures.
  • Participation in the identification of Transition Services Agreements (TSAs) necessary for business continuity.

RESULTS

  • Consolidated operational due diligence report sent to banks, private equity funds and Board of Directors.
  • Consolidation of TSAs for integration into the Asset Purchase Agreement.
