  • Data Room analysis, management meetings, manufacturing site visits
  • Writing of the due diligence report structure as a framework for the operating teams’ analyses
  • Co-writing of the commercial section and transition scenarios
  • Management of the operational teams in charge of the due diligence: Commercial, Manufacturing, R&D, QA/QC, Infrastructure
  • Support for identification of Transition Service Agreements (TSAs) required for business continuity

Results

  • Consolidated operational due diligence report, transmitted to banks, private equity funds and board of Directors
  • Consolidated list of TSAs to be included in the Asset Purchase Agreement
